6. The firm Jules Borgeaud &amp; Fils receives for its sales within the territory
represented by it, after the transactions shall have been completed in the
prescribed manner, a commission of 23 per cent from the works price.
The settlement of the amount of the commission takes place after the expiration
 of each calendar year on the basis of the quantity of goods taken,
For the deliveries of chloride of potassium - Chlorkalium) and for potassium
sulphate (Schwefelsaures Kali) in excess of 2,000 tons taken by the firm
Jules Borgeaud &amp; Fils during 1914 it receives an extra commission of 2% per
cent,
7. The expenses in the territory of the firm Jules Borgeaud &amp; Fils for propaganda
 purposes (advertising, fertilizers for experimental purposes, etc.) shall
be borne jointly by the contracting parties in accordance with an understanding
yet to be reached.
8. The firm Jules Borgeaud &amp; Fils shall not undertake the sale of potash
salts in favor of third parties, directly or indirectly, without the permission of
the Syndicate nor in any other way promote it. Violations of the above provision
 shall have for a result that all assets of the firm Jules Borgeaud &amp; Fils
held by the Syndicate are forfeited to the Syndicate and the agency taken away
from the firm Jules Borgeaud &amp; Fils without notice.
Furthermore the firm Jules Borgeaud &amp; Fils obligates itself to indemnify
the Syndicate or the works belonging to it for all damages arising out of the
above-mentioned violation.
9. This agreement shall remain in force until December 31, 1914, provided a
dissolution of the Syndicate does not take place at an earlier date. In the
latter case the agreement expires on the day of the termination of the Syndicate.
 It is the desire of the contracting parties to prolong the agreement after
the year 1914, provided the present Syndicate exists after that time.
Should the Syndicate or the firm Jules Borgeaud &amp; Fils during the continuance
 of the present agreement come to the conclusion that the firm Jules Borgeaud
 &amp; Fils is not in the position to operate to the satisfaction of the Syndicate
 within the district represented, then the contracting parties, or each of
them, are entitled to terminate the agency agreement before its expiration
opon a six months’ notice. After a notice has been given the Syndicate is entitled,
 both directly or through newly appointed representatives, to transact
business in the territory represented by the firm Jules Borgeaud &amp; Fils, provided
 the delivery of the goods takes place at a time when the present agreement
 shall have expired, without the firm Jules Borgeaud &amp; Fils being entitled
to a commission for such transactions.
10. In all disputes arising out of the present agreement both parties place
themselves within the jurisdiction of the Berlin courts.
11. The present agreement is done in duplicate, of which each party has one.

The sales conditions of the Potash Syndicate, company with
limited liability, for chloride of potassium (Chlorkalium), potassium
 sulphate i Schwefelsaures Kali), and potassium magnesium sulphate
 (Schwefelsaure Kali-magnesis) are as follows:
I. GENERAL CONDITIONS.

1. In the case of sales the completion of which requires several deliveries,
each delivery shall be considered separately. The filling, nonfilling, or incomplete
 filling of one order shall have no effect upon the others.
2. The goods shall be delivered in a good marketable condition.
3. The goods shall be sold under a guaranteed minimum content, and it is
not a contravention of the agreement if their content exceeds the minimum.
In special cases a maximum content may be agreed upon together with a minimum
 content, provided, however, that the margin between the two amounts te
at least 3 per cent.
4. If there is no understanding to the contrary, new durable sacks containing
 about 100 kilograms shall be used for packing. The general rules as
to the quality of the sacks shall be determined by the Potash Syndicate.
