ArTICLE V.

The manager shall be present at all the meetings of the committee, shall
take part in its deliberations, and shall draw up any propositions which he
may deem useful.
He shall enter in a register “ad hoc” the minutes of the committee meetings
 and shall send to each of the members a copy of the minutes subsequent
to the meeting,
This register shall be signed at the same time by the members of the committee
 and the manager. .
ARrTicLE VI.

The committee shall fix the salaries of the manager and of the staff necessary
for carrying on the association; it shall control the manager's accounts, verify
the accuracy of his papers, proceed with him at the end of each year to audit
and settle the accounts of all the ‘operations of the Joint Association, and generally
 assist the manager, but only from a technical point of view, without
being able to interfere in the management of the association, for which the
manager is alone responsible.
The committee shall convene a general meeting of the members of the association
 each time that four, at least, of the latter shall address a request to
that effect to the chairman, stating their reasons for so doing, and they shall
also convene such a meeting upon a decision passed by a majority of their own
members,
The committee shall decide upon the business to be submitted to such meeting.
ArTicLE VII.

The committee shall receive from the manager all the promissory notes subscribed
 by the members of the participation, and the cash or securities deposited
 by them, according to Article XIX of the agreement of association.
The cash, securities, or bills thus handed over by the manager shall be
deposited with the chairman of the committee, with the exception of the bills
subscribed by the latter, which shall be deposited in the hands of the treasurer.

Arrticte VIIL

In the event of a fine being ificurred by any one of the members of the participation,
 the committee shall hand te the manager the cash, securities, or bills
equal to the amount of the fine incurred, which he shall then cash.
If the imposition of the fine should cause a dispute between the manager
and the delinquent, the latter must report this to the committee, who will only
hand over the bills to the manager for this purpose if the imposition of the
Ane has peen pronounced justifiable by one of the three experts named in
Article XIX of the contract of association.

II. OFFICES OF THE TREASURER.
ArTticLE IX.

At the end of each month the manager shall hand over to the treasurer the
sum representing the difference between the payments made him by the members
 of the participation, in conformity with Article XV of the contract of association,
 and the expenses necessitated by the working of the participation.
The sum thus handed over to the treasurer shall be paid by him to the credit
of a joint account opened in his name and in the name of the chairman of the
committee with the association.

ArTicLE X.

At the time of the annual settlement of the accounts of the operations of the
Joint Association, the manager shall also pay to the treasurer the excess of the
sums received by him from the overproducers after deduction of the sums
remitted to the:underproducers. The same shall be done in the event of the
manager cashing the amount of any fine incurred by one of the coparticipants.
The sums thus paid to the treasurer shall be applied as provided in Article
IX above.
