502 REPORT ON COOPERATION IN AMERICAN EXPORT TRADE.
PowERs AND DUTIES OF THE PRESIDENT OF THE BOARD OF DIRECTORS.
Arr. 19. The powers and duties of the president are:
A. To direct the work of the board of directors and preside over all meetings
of the board of directors and of the members;
B. To designate the dates for the regular and special meetings both of members
 and of the board of directors;
C. To see that the measures adopted by the board of directors and in the
meetings of members are carried out;
D. To call special meetings of the board of directors whenever necessary or
when desired by three directors; and
FE. To represent the association legally and in other ways with the powers
indicated in article 11, section B, and in article 18, section C, and for the purpose
 of carrying out all the obligations contracted under this agreement.
MEETINGS OF MEMBERS. '

ArT. 20. There shall be held a regular meeting of members every six months
to consider the general affairs of the association, to approve the accounts, and
to hear the report of the board of directors on the state of business. There
shall also be held special meetings of members when the board of directors considers
 it necessary to have them or when they are desired by at least six
members of the association.
In the special meetings of members only that matter for which the meeting
was called shall be considered.
ART. 21. In calling a regular meeting of members 15 days’ notice shall be
given, and in calling a special meeting of members the same notice shall be
given, the object of the meeting being specified in the notice.
If on the date designated in the notices for a regular or special meeting of
members there be no quorum, the president, or whoever represents him, is
authorized to postpone the meeting for one week, publishing such notice in a
daily paper in Iquique.
ART. 22. To present any proposition in a meeting of members it shall first be
necessary to hand it in writing to the secretary of the association three days
in advance, and the secretary shall immediately post it on the bulletin board of
the meeting room.
ART. 28. A quorum in a meeting of members shall consist of one more than
half of the membership of the association, but as to a postponed meeting a
quorum shall consist of the members present, and the measures passed by it
shall be as valid as though more than half of the members were present, except
as provided in article 26.
ART. 24. Every resolution in the meetings of members in order to pass must
be adopted by a majority of all votes, except as provided in article 28.
ArT. 25. In the meetings of members any member may be represented by
TOXY.
bk ART. 26. Every proposal to change or enlarge the present constitution must
be approved by at least two-thirds of the members of the association in a
special meeting of members called for this purpose.
These changes or amendments can not be made in the consignment and sales
contract described in article 2; this can not be changed without the unanimous
consent of all members of the association.
ART. 27. All measures passed in conformity with the provisions of this congtitution
 shall be binding on all members of the association and they shall be
responsible individually and collectively.
TEMPORARY ARTICLE.

In order te carry this constitution into effect producers representing 75 per
cent or more of the production of 1893, to be determined by the shipments during
that year, must close down their iodin factories for not less than one year
peginning May 1, 1894. The producers who continue manufacturing iodin during
this period shall receive on their quotas 1% pence per ounce less than the net
selling price, and the amount derived from this deduction shall be prorated
among those who close down their factories in proportion to their quotas.
The producers who close down their factories on April 30, 1894, must sublimate
 and export, as soon as possible, all the fodin they have extracted from
“ mother waters” (aguas madpes) up to that date. It is understood that the
