dividends at the rate of 7%. The Preferred

 issues of stock of any class.

Apr., July and Oct. 1. Initial quarterly
 dividend of $1.75 declared paid July

2 COMMON STOCK

Provisions: Common stock is subject
 to the preferences of the Preferred
stock as set forth in the certificate of
incorporation as amended. Among

No additional shares of Common
stock shall be issued for cash without
first being offered for subscription pro
rata to the Common stockholders except
 (1) shares issued upon the exerrise
 of Common Stock Purchase Warrants
 which evidence the right to purchase
 Common stock at $30 per share

issued to employees of company and/
or its subsidiaries; (3) shares constituting
 part of the first 800,000 shares
issued (exclusive of shares issued upon
exercise of Warrants). Common stockholders
 have no preemptive right to
subscribe for additional shares of Prefarred
 stock with or without Warrants.

Dividends: Initial quarterly dividend
of 25 cents a share (placing the stock
on a $1 annual basis), paid May 1 to
stock of record April 20, 1930.
