37. — Les actions sont les titres qui représentent une partie de cet avoir 
social réel. 
On distingue : les actions de capital et les actions de bénéfices. 
38. — L'action est nominative ou au porteur. 
L'action nominative est celle qui porte le nom de son propriétaire; l'action 
au porteur est celle qui peut être transmise de la main à la main comme ua 
billet de banque ou une marchandise quelconque. 
39. — L'action de capital représente une quote-part du capital social et une 
quote-part du bénéfice. 
Le jour de-la constitution, l’action de capital représente une quote-part du 
capital social. — Si ce capital diminue par suite de pertes ou autrement, l’action 
représente toujours la même quote-part du dit capital, mais cette quote-part vaut 
moins. — Donc, une société au capital de 1 million en 2,000 actions de 500 francs 
chacune : chaque action vaut-elle 500 francs? Oui, si le jour de la constitution 
la société possède réellement 1 million en apports de toutes natures. Mais si les 
apports faits ne valent réellement que 800,000 francs, chaque action ne vaut que 
1/2000° du tout, soit 400 francs, bien qu’elle porte une valeur nominale de 
500 francs. 
La société travaille; elle perd. L'’action vaut encore 1/2000° du tout, mais 
cette fraction ne vaut plus 500 francs ou 400 francs, suivant le cas, elle vaut 
cette somme moins un deux-millième: de l’ensemble des pertes. 
La société gagne ; l’actton vaut sa valeur initiale plus un deux-millièmes des 
bénéfices (à la condition, bien entendu) que les bénéfices soient exclusivement 
attribués aux actions de capital. 
Plus tard, la société entre en liquidation ; on réalise (revend) tous les actifs, 
on paie tous les passifs; le reste est le capital de liquidation; celui-ci se partage 
entre'toutes les actions suivant les prescriptions des statuts. 
Donc, en. admettant qu’on liquide la société du n° 36, au capital nominal 
de 1,260,000 francs, de réserves et bénéfices non distribués, chaque action recevra, 
à la condition que tous les postes actifs et passifs du bilan expriment des réalités, 
chaque action recevra 1,260,000 : 2,000 = 630 francs, c'est-à-dire 500 francs de 
capital versé et 130 francs de bénéfices réservés, non distribués. 
40. — On peut distinguer des actions de diverses catégories dans une même 
société lorsqu'elles ont des droits différents dans la participation aux bénefices ou 
à la liquidation. La qualification d’ordinaires, de capital, de priorité, etc., don- 
nées à ces actions, est entièrement arbitraire. On désigne généralement par ac- 
tions de capital celles dont le nombre et la valeur nominale correspond ai: capita’ 
social. 
“ Parmi ces actions, on distingue couramment : 
Les ordinaires et les privilégiées ou priorité. 
Les privilégiées ou priorité se créent parfois pour représenter li capital 
apporté en espèces par opposition au capital apporté en nature et qui. lui, est 
représenté par des actions ordinaires. Parfois, aussi, on crée des privilSgiées ou 
priorité lors des augmentations de capital lorsque l’on désire donner des avanta- 
ges aux souscripteurs qui apportent de l’argent frais. 
Les privilégiées (et priorité) ont souvent l'avantage d’un premier dividende 
de 5, 6, 7 p. c., prélevé sur les bénéfices avant toute attribution aux ordinaires; 
lors de la liquidation, elles sont remboursées avant les ordinaires; parfois, elles 
ont plus de droits de vote que les ordinaires. Les avantages leur réservés sont très 
variables ; il faut chaque fois se reporter aux statuts pour les constater. 
,Done, si une société au capital de 1,000,000 donnant 6 p. c. de premier divi- 
dende aux privilégiées et ayant 500,000 francs d'actions privilégiées et 500,000 
francs d'actions ordinaires avait gagné 50,000 francs nets, réserve légale déduite, 
la répartition serait : 
6 p. c. aux privilégiées sur 500,000 francs, soit 30,000 franes :
