HISTORY: Incorporated under laws of Oregon, 1929, as an affiliation of the
U. S. National Bank of Portland, Ore. The Central National Bank of Portland
was acquired in 1929.
On March 22, 1930, for a consideration of 60,812 shares of Class A stock, the
corporation acquired from the West Coast Bancorporation controlling interest
in banks in Oregon and Southern Washington as follows: Citizens Nat. Bank,
Peninsula Nat. Bank and Union State Bank, all of Portland; U. 8S. Nat. Bank,
Salem, Ore.; U. S. Nat. Bank, McMinnville, Ore.; First Nat. Bank, St. Helens, Ore.;
Bank of Mt. Angel, Ore.; First Nat. Bank, Casmas, Wash.
On March 27, 1930, the Bank of Oregon City, Ore., was added to the group.

CLASS “A” STOCK has no vote, but
participates fully in earnings and as-
sets with Class “B,” under agreement
of May 22, 1930, when 60,812 shares of
Class “B” stock were issued to West
Coast Bancorporation for controlling
interest in 8 banks, company may re-
tire these shares at $43.33 through ex-
change of U. 8S. National Bank stock
at $110 per share in an amount aggre-
gating the value of Class “A” stock so
retired. West Coast Bancorporation is
obligated to hold shares three years
unless above exchange consummated
meanwhile.
CLASS «B” STOCK is all owned by
stockholders of U. S. Nat. Bank, Port-
‘and, Ore. each share of bank stock
tarrying with it a pro-rata interest in
the corporation. All Class “B"” stock
‘s held in a voting trust.
